The minimum share capital is €2,800, which must be deposited in a temporary account before submitting documents to the Register of Enterprises. It is also possible to establish a company with reduced capital (€1–2,799).


An annual audit is required if 2 out of 3 criteria are met: total assets exceed €500,000, net turnover exceeds €1,000,000, or the company has more than 25 employees.

To establish a company in Latvia, you’ll need to:
Choose a unique company name within the Latvian Register (https://www.lursoft.lv/), Secure a legal address (https://postoffice.lv),
Pay the required state fees, Submit incorporation documents to the Register of Enterprises. In practice, to begin full operations, most companies also need to open a bank account and obtain a VAT number. That means full company registration in Latvia usually involves working with three institutions:

  • Register of Enterprises;
  • A Bank;
  • State Revenue Service (VID).

State Revenue Service (VID)

Within one month after registration, the company must activate its electronic account on the State Revenue Service portal. This e-account is used for submitting all tax and financial reports, ordering certificates, and official communication with VID. In practice, accountants or licensed accounting agencies usually handle this on behalf of companies.

Bank

Opening a temporary bank account currently takes 1–2 days and requires prior verification of the beneficial owner. Opening a permanent account usually takes 2–8 weeks and involves a thorough review of both the company and its owners.

Licensing

Certain business activities in Latvia require a license, such as:

  1. Construction
  2. International cargo/passenger transportation
  3. Employment/temporary staffing servicesa
  4. Catering and food trade

Obtaining a license can take up to 30 days.

Visas & Residence Permits

After registration, a Latvian company may employ foreign nationals and assist with work visas and residence permits. Company founders themselves may also apply for Latvian residence permits, gaining the right to travel freely within EU countries.

Branch or representative office registration in Latvia

If you are a foreign entrepreneur looking to start operations in Latvia, you have two options – registering a branch or establishing a representative office. Both solutions allow you to be legally present in Latvia while keeping your company’s legal status abroad.

Branch. A branch is not a separate legal entity – it operates on behalf of the parent company based on authorization. All branch assets belong to the foreign company, and the parent company remains legally responsible for its activities. Importantly, branch registration does not require share capital.

Representative Office. A representative office is not intended for direct commercial activities. Its main purpose is to represent the foreign company in Latvia, conduct market research, exchange information, and prepare the groundwork for future business development in the region. Like a branch, it is not a separate legal entity and cannot conclude contracts or carry out sales in the company’s name.

It depends on your goals. If you want to start operating immediately, purchasing a shelf company is the fastest option — it’s already registered and in some cases may even have VAT payer status. If you prefer full control from day one, registering a new company and tailoring it to your needs is the best choice.

Low-capital SIA (€1–2,799 share capital): Can be established with minimal investment, but the founders are personally liable for the company’s obligations in the first years.
Standard SIA (from €2,800 share capital): Requires full capital contribution but offers limited liability, meaning founders are not personally responsible with their private assets.

Yes. Even if your company is not active right away, you must still file at least zero reports with the State Revenue Service (VID). In addition, if your company becomes a VAT payer, regular VAT declarations must be submitted.
